Terms of Use

These terms govern access to Vignetra’s mobile application, website, optional accounts, metadata sync, and related services.

Please read these Terms. They form a binding agreement when you access or use the Service. If you do not agree, do not use Vignetra. Mandatory consumer rights that cannot legally be waived remain in effect.

1. Agreement and operator

These Terms of Use (“Terms”) are an agreement between you and the operator of the Vignetra Service (“Vignetra,” “we,” “us,” or “our”). They apply to the Vignetra mobile app, this website, optional account and metadata-sync features, support, and related services (collectively, the “Service”). The Privacy Policy explains how information is handled and is incorporated by reference where permitted.

Vignetra is currently offered under the Vignetra product name in a pre-release stage. The legal name, postal address, and governing establishment of the operating entity will appear in the applicable app-store listing and will be added here before general commercial release. 2. Eligibility and authority

You must be at least 13 and at least the minimum age required to consent to an online service where you live. If you are not old enough to enter this agreement yourself, a parent or legal guardian must review and agree to these Terms for you. If you use Vignetra for an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

You may not use the Service if doing so is prohibited by applicable law, if your access was previously terminated for a serious violation, or if you are subject to trade restrictions that prohibit access.

3. What Vignetra provides

Vignetra helps you explore media you authorize from a device library. Depending on platform, permissions, region, and release stage, features may include moments, a timeline, local visual search, location maps, calendar context, familiar-face grouping, titles, notes, preferences, optional accounts, and metadata sync.

  • Vignetra is an organization and discovery tool, not a photo or video backup service.
  • Original media remains under the control of your device photo library and may become unavailable to Vignetra if you revoke access, delete the media, change devices, remove the app, or lose the device.
  • Machine-generated search, grouping, date, place, face, and context results can be incomplete or wrong. Review results before relying on them.
  • Features may differ between iOS and Android to follow platform design, permission, and technical requirements.

4. Guest use, accounts, and usernames

An account is optional for local use. If you create or use an account through Apple or Google, you authorize Vignetra to receive the provider information described in the Privacy Policy. You are responsible for securing your device and provider account, for activity under your Vignetra account, and for promptly reporting suspected unauthorized access.

You must provide accurate information and keep it reasonably current. Usernames are unique and may not:

  • impersonate another person or falsely suggest affiliation, endorsement, or official status;
  • misuse a trademark, brand, public figure name, government identifier, or protected organization name;
  • contain unlawful, threatening, hateful, sexually exploitative, or deliberately misleading content;
  • be reserved, sold, transferred, or automated at scale without written permission.

Vignetra may reserve, reject, rename, reclaim, or transfer a username when reasonably necessary to protect users, comply with law, prevent impersonation or abuse, resolve a verified rights claim, or protect the integrity of the Service. If you believe a protected name was reserved or assigned by mistake, contact info@vignetra.com with evidence of authority. Submitting a claim does not guarantee transfer.

5. Your content and permissions

“Your Content” includes the photos and videos you authorize, along with titles, notes, names, corrected locations, feedback, and other material you provide. As between you and Vignetra, you retain ownership of Your Content.

You grant Vignetra a limited, non-exclusive, worldwide, royalty-free license to access, process, reproduce, transform, transmit, and store Your Content only as technically necessary to operate, secure, troubleshoot, and improve the features you request, consistent with the Privacy Policy. For original media and local face or visual data, this processing is designed to occur on your device. For supported metadata you choose to sync, the license continues only as long as reasonably necessary to provide the account service or comply with law.

You represent that you have the rights and permissions needed to use Your Content with Vignetra and that doing so does not violate another person’s privacy, publicity, intellectual-property, contractual, or other rights. Vignetra does not take responsibility for Your Content or for how you label, search, or use it.

6. People, face grouping, and sensitive information

The optional People feature groups faces that appear similar within your authorized library. It is not a public identity service and must not be used for surveillance, authentication, employment, housing, credit, insurance, law-enforcement decisions, or another high-impact decision.

You may add a name only when you have a lawful basis and a legitimate personal reason to do so. You must not use Vignetra to stalk, harass, exploit, discriminate against, unlawfully identify, or expose another person, particularly a child or vulnerable person. Where local law requires consent to process biometric or face-related information, you are responsible for obtaining that consent before enabling or using the feature for that person.

7. Acceptable use

You must not, and must not help anyone else to:

  • break applicable law or violate another person’s rights;
  • access another person’s account, device, library, or metadata without authorization;
  • harass, threaten, stalk, exploit, deceive, discriminate against, or endanger a person;
  • use Vignetra to create or distribute unlawful sexual content, child sexual abuse material, intimate imagery without consent, or content that facilitates human exploitation;
  • probe, bypass, disable, or interfere with authentication, App Check, access rules, rate limits, security controls, or provider restrictions;
  • introduce malware, automated abuse, denial-of-service traffic, scraping, credential stuffing, or fraudulent transactions;
  • reverse engineer, decompile, or extract protected source code, models, keys, or service logic except to the limited extent applicable law expressly permits despite this restriction;
  • remove legal notices, attribution, rights-management information, or OpenStreetMap attribution;
  • use the Service or its outputs to develop a competing biometric identification or surveillance database;
  • misrepresent machine-generated results as verified facts about another person.

Vignetra may investigate suspected violations and may cooperate with providers or authorities where legally required. We will seek to limit disclosures to what is necessary and lawful.

8. License and intellectual property

Subject to these Terms, Vignetra grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the app on devices you own or control as permitted by the applicable app-store rules, solely for lawful personal use.

Vignetra and its licensors own the Service, including its name, logo, visual design, software, service logic, documentation, and original content, excluding Your Content. No rights are granted except those expressly stated. You may not use Vignetra branding in a way that suggests affiliation or endorsement without written permission.

Open-source components and model files are governed by their respective licenses rather than this proprietary license. Notices are available in the app under Privacy → Open Source Licenses.

Feedback

If you voluntarily send ideas or feedback, you grant Vignetra a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or payment, provided this does not grant ownership of your private photos, videos, notes, or other personal content.

9. Third-party platforms and services

The Service can rely on independent platforms and services, including Apple, Google, Firebase, Google Cloud, operating-system geocoding, and OpenStreetMap infrastructure. Their terms and privacy practices may apply to your direct relationship with them. Vignetra is not responsible for third-party service availability, content, security, or changes that are outside Vignetra’s reasonable control.

Map data and geocoded labels can be incomplete, delayed, or inaccurate and must not be used for emergency response, navigation where safety depends on precision, property boundaries, or legal proof of location.

10. Paid features and subscriptions

If Vignetra offers a paid feature, its price, billing period, included usage, trial terms, renewal, and material restrictions will be shown before purchase. Purchases made through Apple App Store or Google Play are billed and managed by that store. Their refund and cancellation rules apply except where mandatory law provides additional rights.

  • Recurring subscriptions renew automatically unless canceled at least as required by the applicable store before the renewal date.
  • Deleting the app or account does not necessarily cancel a store subscription; manage subscriptions in your app-store account.
  • Prices and included features may change prospectively with notice required by law or store rules.
  • Taxes may apply. Vignetra does not receive your full payment-card credentials from the app store.

Any usage allowance described as “free” or promotional may be changed or discontinued prospectively, subject to applicable law.

11. Updates, beta features, and availability

Vignetra may add, change, suspend, or discontinue a feature; impose reasonable limits; or release platform-specific updates. We will provide notice where required. Updates may be necessary for security, compatibility, or continued operation.

Pre-release, beta, experimental, or preview features may be incomplete, change without notice, and contain errors. Do not rely on them for emergencies, legal evidence, medical decisions, financial decisions, safety-critical use, or the only copy of important information.

12. Suspension, termination, and account deletion

You may stop using Vignetra at any time. You can sign out or request account deletion from the Privacy section. Account deletion removes Vignetra account metadata as described in the Privacy Policy but does not delete original media from your device library or automatically cancel an app-store subscription.

Vignetra may limit, suspend, or terminate access if you materially or repeatedly violate these Terms; create security, legal, or safety risk; fail to pay for a paid service; or if required by law. Where reasonable and lawful, we will provide notice and an opportunity to appeal. Immediate action may be necessary for severe abuse or urgent risk.

Sections that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, dispute provisions, and general terms—remain effective.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” VIGNETRA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

VIGNETRA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH EVERY DEVICE; THAT SEARCH, FACE GROUPING, DATE, PLACE, OR OTHER MACHINE-GENERATED RESULTS WILL BE COMPLETE OR CORRECT; OR THAT LOCAL OR SYNCED DATA WILL NEVER BE LOST. YOU ARE RESPONSIBLE FOR MAINTAINING BACKUPS OF ORIGINAL MEDIA AND REVIEWING IMPORTANT RESULTS.

Some jurisdictions do not allow certain warranty exclusions. In those places, exclusions apply only to the extent legally permitted, and mandatory consumer guarantees remain.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIGNETRA AND ITS OWNERS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, GOODWILL, OR OPPORTUNITY; LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA OR MEDIA; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIGNETRA’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID VIGNETRA FOR THE SERVICE DURING THAT PERIOD OR (B) US $100.

These limits do not apply to liability that cannot legally be limited, which may include fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer rights. The limitations allocate risk and are an essential basis of the agreement.

15. Your responsibility for third-party claims

To the extent permitted by law, if your unlawful use of the Service, Your Content, or your material breach of these Terms causes a third party to bring a claim against Vignetra, you agree to reimburse Vignetra for reasonable losses, liabilities, and legal costs resulting from that claim. Vignetra will provide reasonable notice and allow you to participate in the defense, but Vignetra may control the defense and settlement. This section does not apply where prohibited by consumer law.

16. Disputes and governing law

Please contact info@vignetra.com before filing a formal claim so we can try to resolve the issue. This does not prevent either party from seeking urgent relief or using a statutory consumer or privacy complaint process.

Mandatory consumer-protection laws and courts available in your place of residence remain available where they cannot be waived. For other matters, these Terms are governed by the laws of the jurisdiction in which Vignetra’s operating entity is established, without regard to conflict-of-law principles, and disputes may be brought in the competent courts identified by that jurisdiction. The operating jurisdiction will be identified in the applicable app-store listing and on this page before general commercial release.

The United Nations Convention on Contracts for the International Sale of Goods does not apply. Nothing in these Terms requires individual arbitration or waives a class or representative right unless Vignetra later presents a legally valid, separately disclosed dispute agreement that you accept.

17. Apple App Store and Google Play terms

Apple App Store

If you download Vignetra from Apple’s App Store, you acknowledge that these Terms are between you and Vignetra, not Apple. Vignetra, not Apple, is solely responsible for the app and its content, maintenance and support, warranties not effectively disclaimed, product claims, legal compliance, and handling intellectual-property infringement claims. Your license is limited to use on Apple-branded products you own or control as permitted by the Apple Media Services Terms and any applicable Family Sharing or volume-purchase rules.

If the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, to the extent required by its rules. Apple has no other warranty obligation to the maximum extent permitted by law. You represent that you are not located in a country subject to a US government embargo or designated as supporting terrorism and are not on a US government prohibited or restricted-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the App Store provisions against you.

Google Play

If you download Vignetra from Google Play, Google’s applicable Play terms govern your use of Google Play, purchase administration, refunds, and device eligibility. These Terms remain between you and Vignetra regarding the app. In a conflict concerning Google Play distribution, Google Play’s required terms control to the extent required.

18. General terms

  • Changes. We may update these Terms prospectively. Material changes will receive reasonable notice where required. If you do not agree, stop using the Service before the changes take effect.
  • Entire agreement. These Terms, the Privacy Policy, purchase disclosures, and any feature-specific terms are the entire agreement about the Service.
  • Order of precedence. Feature-specific or purchase terms control only for the feature they address. Mandatory app-store terms control where the store requires.
  • Severability. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains effective.
  • No waiver. A failure to enforce a provision is not a waiver.
  • Assignment. You may not transfer this agreement without written consent. Vignetra may transfer it as part of a reorganization, financing, merger, acquisition, or sale, subject to applicable law.
  • No agency. These Terms do not create a partnership, employment, agency, or fiduciary relationship.
  • Electronic communications. You agree to receive legally permitted notices electronically through the app, website, provider email, or account contact information.
  • Language. If a translation conflicts with the English version, the English version controls to the extent permitted by law.
